By accessing or using the CoachMeUpp platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

CoachMeUpp provides a digital platform for leadership coaching and talent development. Our Services include AI-powered coach matching, virtual coaching sessions, progress tracking, analytics, and related tools designed to enhance leadership development within organizations.

3. User Accounts

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Coaching Services

When using our coaching services, you understand and agree that:

• Coaching is not therapy, counseling, or any form of mental health treatment
• Coaches are independent professionals, not employees of CoachMeUpp
• Results may vary and are not guaranteed
• You are responsible for your own decisions and actions
• Sessions should be scheduled and attended as agreed

5. Confidentiality

We maintain strict confidentiality regarding coaching sessions. Information shared during coaching sessions will not be disclosed to your employer or third parties without your consent, except where required by law or where there is a risk of harm to yourself or others.

6. Intellectual Property

All content, features, and functionality of the CoachMeUpp platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of CoachMeUpp or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Harass, abuse, or harm other users or coaches
• Attempt to gain unauthorized access to our systems
• Upload viruses or other malicious code
• Interfere with the proper functioning of the Services
• Copy, modify, or distribute our content without permission
• Use the Services to compete with CoachMeUpp

8. Payment Terms

If you or your organization purchases paid Services, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as expressly provided in these Terms or required by law. We reserve the right to change our pricing at any time with reasonable notice.

9. Cancellation and Refunds

Cancellation policies for coaching sessions and subscriptions will be communicated at the time of purchase. Generally, coaching sessions should be rescheduled or cancelled at least 24 hours in advance to avoid forfeiture.

10. Limitation of Liability

To the maximum extent permitted by law, CoachMeUpp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

12. Indemnification

You agree to indemnify, defend, and hold harmless CoachMeUpp, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Istanbul, Turkey.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
